s 90+ Disciplines 30+ Offices globally Our Opportunity: We are currently seeking a versatile Paralegal in our Menlo Park, CA; Phoenix, AZ or Natick, MA office, to join our small but mighty legal team.
In this role, you will be responsible for supporting a wide range of functions that fall within the responsibility of the Legal team.
This is a great opportunity to join as the Legal Department’s first paralegal as we seek to innovate our function to support future business growth.
The ideal candidate should be detail-oriented, highly organized, and able to adapt to a fast-paced and diverse legal environment.
This role will work closely with all attorneys in the Legal Department as well as internal stakeholders from other functions, and periodically with outside counsel.
Ideal candidate will: have experience in at least 3 of the areas below; bring agility through eagerness to learn new subject areas and tools; be a confident collaborator and team player; be accountable, self-driven and able to manage responsibilities with minimal oversight or reminders; be solutions-oriented; and have a can-do, service-oriented attitude.
You will be responsible for: Assisting in the maintenance and management of corporate records, including board and shareholder meeting documentation Supporting compliance efforts related to corporate governance and securities-related regulations and requirements and facilitating communications between legal department and internal stakeholders Reviewing all nondisclosure agreements (NDAs) and collaborating with others in the team on non-standard NDAs Supporting implementation of CLM processes and tools Maintaining a contract database/legal archives and supporting the creation of processes to track contract terms, renewal deadlines, etc Providing limited litigation support, including administration of legal holds, tracking of subpoenas, supporting for discovery and response to subpoenas, and supporting in preparation of quarterly legal docket and quarterly claims reporting Collaborating with other internal stakeholders to manage the process of PE licensing and business registrations, ensuring compliance with state and local regulations Supporting procurement and administration of the company's insurance policies Collaborating with purchasing to develop and implement vendor onboarding processes and procedures Serving as primary administrator of entity registrations in the SAM registration system Maintaining awareness of new legal developments applicable to government contractors and helping to ensure compliance with government contract regulations, including FAR and DFARS requirements Supporting commercial attorneys in the preparation, review, and submission of proposals and bids for government contracts You will have the following skills and qualifications: Bachelor's degree or paralegal certification from an accredited institution 3+ years of paralegal experience with a strong background in corporate governance, contract management, litigation support, and/or licensing/registrations Proficiency in legal research, document management, and legal software Excellent communication and interpersonal skills to collaborate with cross-functional teams Strong organizational and communication skills and attention to detail Ability to adapt to changing priorities and handle multiple tasks simultaneously Life @ Exponent: To learn more about life at Exponent and our impact, please visit the following links: https://www.
