We're looking for a business-minded attorney, with experience in the medical device field primarily focused on regulatory, clinical and/or compliance matters.
Areas of focus would include advertising and promotion, support to clinical and regulatory functions in the commercialization of the company’s products, and a variety of healthcare compliance matters (e.
g.
, federal and state fraud and abuse laws).
The candidate will work closely with other internal business teams and leadership across the company.
The ideal candidate is a self-motivated attorney who excels at identifying risk, problem solving, and partnering with the business to make decisions amidst ambiguity.
A Day In The Life Of Our Corporate Counsel Provide legal counsel and guidance to the company’s internal business teams on a wide range of legal issues related to development and commercialization of a medical device.
Counsel on appropriate relationships with employees, customers, suppliers, external business partners, financial institutions.
Participate on a multidisciplinary committee to review company legal materials.
Negotiate, draft, and review contracts across the organization, including with the company’s vendors, consultants, customers, and other business partners.
Develop and implement appropriate policies and training programs to support global compliance with all applicable laws, regulations, and policies.
As needed, conduct or support internal investigations raised through the company’s compliance programs.
Prepare board meeting minutes, board consents, manage cap table, and prepare/amend stock option agreements.
Represent the corporation before administrative boards and court trials.
Liaison with external law firms on strategic investments, private, and public financing into startup companies.
Lead the efforts to build/expand legal business structure internationally and serve as the liaison with external law firms.
About You JD from an accredited law school, with requisite bar licensure in one or more U.
S.
jurisdictions.
A member of the State Bar of California A minimum of 10 years of experience, preferably with some combination of large law-firm and in-house experience in the medical device, pharmaceutical or biotechnology industries.
Willingness to assume multiple functions with shifting priorities and work on projects of all types.
Thrives in a fast-paced, constantly evolving and growing environment and seeks to work in a collaborative framework.
Desire and ability to operate independently with autonomy within a small legal department.
Required Knowledge, Skills and Abilities Broad knowledge, and preferably expertise, in a wide array of legal areas relating to the development and commercialization of a medical device, including the U.
S.
Food, Drug and Cosmetic Act and related regulations, and U.
S.
healthcare fraud and abuse laws, including the federal False Claims Act and the Anti-Kickback Statute, Sunshine Act, FCPA, as well as up-to-date familiarity with guidance and enforcement priorities of government enforcement and regulatory agencies.
Familiar with medical device regulatory compliance and healthcare reimbursement rules and regulations.
Demonstrated experience in running the legal department of a commercial stage medical device company including supporting commercial operations, private and public market financing, SEC reporting, etc.
Proven record in handling complex litigation matters, including product liability cases and contractual disputes.
Established experience with a wide range of employment-related issues, including employment contracts, discrimination claims, and HR policies.
Proven record with international corporation legal operations, including cross-border transactions, trade regulations, taxes, etc.
Ensure compliance with global laws and regulations while expanding business operations internationally.
Ability to build strong relationships cross-functionally, including with stakeholders across finance, clinical, regulatory, commercial, product, engineering and marketing disciplines.
Strong negotiation and drafting, communication, administrative, and time management skills.
Ability to exercise sound judgment, make decisions, solve problems, and operate under pressure.
Exceptional written and oral communication skills.
Consistent with applicable laws, an employee's pay within this range is based on a number of factors which include but are not limited to relevant education, skills, job-related knowledge, qualifications, work experience, credentials, and/or geographic location.
